BorgWarner Inc. is buying Dytech ENSA SL for an undisclosed price, expanding the scope of its exhaust-system components portfolio for passenger and commercial vehicles.
"From both a technology and geography standpoint, this acquisition is an excellent strategic fit," said Timothy M. Manganello, BorgWarner chairman and CEO.
Detroit-based BorgWarner produces components and systems for vehicle powertrain applications, for many of the world’s leading automotive, and commercial vehicle brands. It said the new subsidiary will strengthen its technology offerings for optimizing air and exhaust systems with lower emissions, improved fuel economy and performance.
Dytech ENSA SL produces exhaust gas recirculation (EGR) coolers, EGR tubes, and integrated EGR modules, including valves for automotive and commercial vehicle, including off-road models. 2009 sales total about $180 million.
Cooled EGR helps to reduce NOx and particulate emissions from diesel and gasoline-direct injection engines. BorgWarners said the combination of ENSA's EGR cooler technology with its own EGR valve and controls will allow BorgWarner to offer complete system solutions, such as an integrated EGR valve, cooler, by-pass valve, and tubes.
Dytech has about 1,000 employees in India, Portugal, and Spain. Its customers include Renault/Nissan, VW/Audi, Ford, Fiat, Navistar, GM, Daimler, PSA, Suzuki, Mahindra & Mahindra, TATA, Ashok Leyland, MAN, and IVECO.
"Combining ENSA's cooler technology with BorgWarner's technology leadership in engine air management and products such as turbochargers and EGR valves will provide operational and engineering synergies,” Maganello stated. “Similarly, the acquisition creates additional market opportunities in both passenger and commercial vehicle applications, and enhances BorgWarner's ability to serve customers globally."
